    Terms & Conditions

    These Terms govern the managed website and related services supplied by TradeTech. Please read them before ordering. Your order form, selected package, written quotation and any agreed service details form part of the agreement. If one of those documents conflicts with these Terms, the more specific written document will take priority for that particular service.

    1. Who we are

    TradeTech is a trading name of SmartTech Digital Ltd, company number 17079578, registered in England and Wales.

    2. Business customers

    Our services are intended for plumbers, heating engineers and other trade businesses purchasing for business purposes. If you believe you are entering the agreement as a consumer, please tell us before ordering because different legal rights may apply.

    3. Forming the agreement

    The agreement begins when TradeTech accepts your order in writing, confirms your selected package, or starts work following your instruction or payment.

    You confirm that you have authority to enter into the agreement for the named business.

    The agreement consists of these Terms, the accepted order or quotation, the package description and any written changes agreed by both parties.

    Website examples, demonstrations and portfolio designs illustrate the standard and range of work available. They are not ready-made templates or a promise that every feature shown is included within your package.

    4. Service model and cancellation

    TradeTech provides a rolling monthly managed website service unless a different arrangement is agreed in writing.

    Either party may end the service by giving at least 30 days’ written notice. Charges remain payable until the notice period expires.

    There is no 24-month payment commitment. The 24-month provisions in these Terms only govern website ownership and eligibility to receive transferable website materials. They do not prevent you from cancelling the monthly service earlier.

    5. What the service includes

    The client’s package or order confirmation identifies the included pages, features and services.

    Depending on the selected package, the service may include:

    • Managed website hosting.
    • Routine maintenance.
    • Backups.
    • Basic website security.
    • Minor content updates.
    • Website forms.
    • Chat or contact widgets.
    • Enquiry notifications.
    • Automations.
    • Agreed communication tools.

    Features that are not expressly included in the selected package are outside the standard scope.

    Advertising management, full ongoing SEO campaigns, paid third-party subscriptions, domain registration, custom development and major redesigns are not included unless agreed in writing.

    6. Build process and timescales

    TradeTech aims to prepare most standard websites within approximately seven working days after receiving all information, materials, access and payment needed to begin.

    This is an estimated timescale rather than a guaranteed completion date. Complex requirements, third-party approvals, requested changes or delays in receiving information may extend the timescale.

    The client must provide accurate information and reasonable feedback promptly. If TradeTech is waiting for information, access or approval, work and timescales may be paused.

    If a project remains inactive for 30 days because the client has not responded, TradeTech may reschedule the work and continue billing for services or capacity already reserved. TradeTech will attempt to contact the client before treating a project as inactive.

    7. Review, approval and revisions

    The client will have an opportunity to review the website before launch.

    The initial website build includes two reasonable revision rounds. A revision round means one consolidated list of changes supplied after reviewing the relevant version of the website.

    Included revisions may cover:

    • Reasonable wording changes.
    • Image replacements.
    • Navigation-label changes.
    • Minor refinements to the agreed layout.

    A new design direction, rebuilding approved sections, structural changes, extensive rewriting, custom functionality or additional revision rounds may be quoted separately.

    The client is responsible for checking services, locations, prices, contact details, qualifications, registrations, guarantees, legal information and regulated claims.

    Approval to launch confirms that the client has reviewed and accepted those business details. TradeTech remains responsible for performing its own service with reasonable care and skill.

    8. Additional services and charges

    Additional pages cost £10 per page per month unless agreed otherwise in writing.

    WhatsApp is available as an optional extra for £5 per month.

    Domain management is available as an optional extra for £5 per month.

    Domain registration fees, messaging usage, premium software, advertising costs and other third-party charges may be billed separately where applicable.

    TradeTech will explain and obtain agreement to any additional recurring charge or separately quoted work before adding it.

    Additional pages, features, content and materials created through the managed service are subject to the same ownership provisions as the original website unless agreed otherwise in writing.

    9. Ongoing website changes

    Reasonable minor updates are included as part of the managed service.

    Minor changes apply to existing content and sections.

    • New pages may cost £10 per month per page.
    • Major redesigns, complex integrations, substantial content expansion and custom functionality may incur a separate charge.
    • TradeTech may make small improvements to headings, wording, internal links, forms, calls to action, FAQs, trust sections and mobile spacing.
    • TradeTech will not change important business information without approval.

    Important business information includes:

    • Prices.
    • Phone numbers.
    • Business name.
    • Logo and core branding.
    • Services offered.
    • Guarantees.
    • Qualifications.
    • Gas Safe information.
    • Legal pages.

    10. Domains, email and third-party accounts

    A domain registered in the client’s own registrar account remains the client’s property. The client is responsible for renewing it unless they purchase domain management from TradeTech.

    Where TradeTech manages a domain, ownership, renewal responsibilities and account access will follow the written arrangement agreed with the client.

    Domain propagation, email configuration and third-party verification may take time and depend on providers outside TradeTech’s control.

    TradeTech is not responsible for interruption caused by expired domains, client-controlled DNS changes, inaccessible accounts or inaccurate access information supplied by the client.

    11. Payments and billing

    Monthly service fees are charged in advance. The first payment is due when the client signs up unless agreed otherwise. Subsequent payments will normally be collected on the same date each month and cover the following month of service.

    Optional extras and recurring additions are also billed in advance.

    The client authorises TradeTech and its payment provider to collect agreed recurring charges using the selected payment method. The client must keep their payment information current.

    Prices are exclusive of VAT unless expressly stated otherwise. VAT will be added if legally applicable.

    Payments already made are non-refundable except where required by law or expressly agreed by TradeTech.

    Cancelling does not remove the client’s responsibility to pay charges falling due during the required 30-day notice period.

    12. Price changes

    TradeTech may change recurring prices by providing at least 30 days’ written notice.

    If the client does not accept an increase, they may cancel the service before the increase takes effect.

    Changes to taxes or third-party charges may be passed on where reasonably necessary and will be explained to the client.

    13. Failed payments and suspension

    If a payment is overdue or cannot be collected, TradeTech may pause work, disable chargeable features, suspend hosting or withhold further services until the account is brought up to date.

    Where reasonably possible, TradeTech will notify the client and provide a reasonable opportunity to pay before suspending the website or associated services.

    Suspension does not cancel the agreement or remove any amounts already due.

    14. Client materials and responsibilities

    The client must provide accurate information, respond to reasonable requests, maintain lawful business practices and hold all permissions required for any logos, photographs, text, reviews, qualifications and other materials supplied to TradeTech.

    The client grants TradeTech a non-exclusive licence to use, edit and display those materials where reasonably necessary to build, host, maintain and promote the agreed website.

    The client remains responsible for claims arising from materials or instructions they provide that infringe another person’s rights, break the law or misrepresent the business.

    The client is responsible for responding to enquiries, providing quotations, keeping business information current and delivering services to their own customers.

    TradeTech does not act as the client’s plumbing contractor, sales agent or customer-service provider.

    15. Ownership during the first 24 months

    The website is supplied as part of a managed monthly service.

    During the first 24 continuous paid months, TradeTech retains ownership of the website design, framework, structure, templates, TradeTech-created layouts, systems, automations, integrations and setup unless agreed otherwise in writing.

    The client’s pre-existing branding, photographs, business information and other materials supplied by the client remain the client’s property.

    Third-party software, stock assets, fonts, plugins and platform components remain subject to their respective licence terms.

    16. Transfer after 24 months

    After 24 continuous paid months, a client whose account is fully paid may request a copy of the transferable website files, TradeTech-created website copy and images that TradeTech has the right to provide, together with the client’s own materials.

    Transfer does not include:

    • TradeTech’s internal tools.
    • Reusable systems.
    • Master templates.
    • Passwords or credentials.
    • Platform accounts.
    • Automations that cannot technically be exported.
    • Third-party materials whose licences prevent transfer.

    The website will be supplied in a reasonably available format. It may not function identically on a different website platform without redevelopment.

    Eligible materials will be supplied within a reasonable period after a written request and completion of any necessary identity or security checks.

    The client is responsible for migration, alternative hosting and future maintenance unless separately agreed.

    17. What happens when the service ends

    If the service ends before the client completes 24 continuous paid months, TradeTech is not required to transfer the website or TradeTech-created materials.

    The client’s own branding, photographs, business information and client-supplied materials remain theirs and may be reused elsewhere.

    When the service ends, hosting, forms, widgets, notifications, automations and connected services may stop operating.

    The client is responsible for arranging an alternative website service before the termination date.

    TradeTech may remove website content and account data after the service ends, subject to legal, backup and data-protection obligations.

    18. Search visibility and results

    TradeTech does not guarantee leads, enquiries, telephone calls, traffic, search rankings, inclusion in AI-generated answers, jobs, revenue or sales.

    Results depend on matters outside TradeTech’s control, including the client’s location, competition, local demand, pricing, reviews, business history, response times and changes made by search engines or AI platforms.

    Local website structure and technical work are not the same as a full ongoing SEO campaign unless that service is expressly included.

    Search engines and AI platforms decide how websites are indexed, ranked, displayed or referenced.

    19. Third-party services and availability

    TradeTech uses third-party hosting, software, communication, analytics and infrastructure providers.

    TradeTech aims to provide a reliable service but does not guarantee uninterrupted or error-free availability.

    TradeTech is not responsible for third-party outages, network failures, delivery delays, approval decisions, platform restrictions, policy changes or discontinued functionality outside its reasonable control.

    Where an affected feature forms part of the agreed package, TradeTech will take reasonable steps to restore or adapt the service.

    20. Data protection

    Each party must comply with applicable data-protection law.

    For personal information TradeTech collects for its own business purposes, TradeTech acts as the data controller under its Privacy Policy.

    Where TradeTech processes personal information submitted through a client’s website solely on that client’s behalf, the client is the controller and TradeTech is the processor.

    TradeTech will:

    • Process that information only on documented instructions unless legally required to act otherwise.
    • Ensure authorised people are bound by confidentiality.
    • Use appropriate technical and organisational security measures.
    • Apply equivalent protections to authorised subprocessors.
    • Provide reasonable assistance with privacy-rights requests, security incidents and compliance duties.
    • Delete or return information when the service ends where required and reasonably practicable.

    The processing may include customer and prospect names, contact details, enquiry content, uploaded photographs, appointment information, technical identifiers and communication records.

    Its purpose is to host the website, transmit and store enquiries, operate notifications and provide agreed support and communication features.

    The client generally authorises TradeTech to use suitable hosting, CRM, form, email, SMS, analytics and infrastructure subprocessors needed to deliver the service.

    TradeTech will apply equivalent data-protection duties to those subprocessors and provide information about material changes. The client will have a reasonable opportunity to raise a genuine data-protection objection.

    TradeTech will provide information reasonably necessary to demonstrate compliance and contribute to a reasonable audit where legally required. Audits must be proportionate and protect other customers and TradeTech’s confidential systems.

    When the service ends, TradeTech will return or delete client-controlled personal information where required and reasonably practicable. Information held within protected backups may remain beyond use until the normal secure-deletion cycle.

    A separate Data Processing Schedule may supplement this section and will take priority for processing-specific matters.

    21. Confidentiality

    Each party must keep the other party’s non-public business, technical and customer information confidential and use it only to provide or receive the service.

    This does not apply to information that was already lawfully known, independently developed, made public without a breach of these Terms or required to be disclosed by law.

    These confidentiality obligations continue after the agreement ends.

    22. Portfolio use

    Unless the client asks TradeTech in writing not to, TradeTech may identify the client’s business and display the completed public website or non-confidential screenshots as examples of its work in portfolios, proposals, social media and marketing.

    TradeTech will not publish private account details, unpublished materials or confidential customer information.

    23. SMS and mobile messaging

    Service messages may include enquiry confirmations, quote responses, onboarding, appointments, technical support and account updates.

    Marketing messages are sent only where TradeTech has valid consent or another lawful permission.

    Providing a phone number allows TradeTech to respond to a request but does not by itself authorise unrelated marketing.

    Message frequency varies and the recipient’s normal provider charges may apply.

    To stop marketing SMS messages, reply STOP.

    For help, reply HELP where available or email support@tradetechwebsites.co.uk.

    Essential service messages may still be sent where necessary to complete an active request or administer the agreement.

    24. Ending the agreement for breach

    Either party may end the agreement immediately by giving written notice if the other party commits a serious breach that cannot be remedied or fails to correct a remediable serious breach within 14 days of receiving written notice.

    TradeTech may suspend or end the service immediately where continuing would be unlawful, create a material security risk, facilitate fraud or abuse, or cause serious harm to TradeTech, another person or the service platform.

    Ending the agreement does not affect rights, liabilities or charges that arose before termination.

    Ownership, confidentiality, liability, data protection and unpaid payment obligations continue where their nature requires them to do so.

    25. Liability

    Nothing in these Terms limits liability for:

    • Death or personal injury caused by negligence.
    • Fraud or fraudulent misrepresentation.
    • An obligation that cannot lawfully be limited.
    • Any other liability the law does not allow TradeTech to exclude.

    Subject to those protections, neither party will be liable for indirect or consequential loss.

    TradeTech will not be liable for lost profit, lost revenue, lost business, loss of anticipated savings, loss of goodwill or loss caused by inaccurate client information, client delay, third-party failure or an event outside TradeTech’s reasonable control.

    Subject to the exclusions above, TradeTech’s total aggregate liability arising from the agreement will not exceed the fees paid or payable for the affected service during the 12 months immediately before the event giving rise to the claim.

    If the service has existed for less than 12 months, the liability cap will be the fees paid or payable during that shorter period.

    This section is intended to allocate business risk reasonably and does not remove any remedy that cannot lawfully be restricted.

    26. Events outside reasonable control

    Neither party will be liable for a delay or failure caused by an event outside its reasonable control.

    This may include internet or utility failure, cyberattack despite reasonable precautions, fire, flood, epidemic, industrial dispute, government action or failure of a critical third-party platform.

    The affected party must take reasonable steps to reduce the impact and resume performance.

    27. Formal notices

    Formal notices under the agreement must be sent by email to the address used for the client’s account or to support@tradetechwebsites.co.uk.

    A notice will normally be treated as received on the next working day unless the sender receives a delivery-failure notification.

    A cancellation request must clearly identify the business and the requested service end date.

    28. General terms

    Neither party may transfer the agreement without the other party’s written consent, except that TradeTech may transfer it as part of a genuine sale, reorganisation or transfer of its business, provided this does not materially reduce the client’s rights.

    Nothing in the agreement creates a partnership, employment relationship, agency or joint venture.

    A delay in enforcing a right is not a waiver of that right.

    If any provision is found to be unenforceable, the remaining provisions will continue.

    A person who is not a party to the agreement has no right to enforce it under the Contracts (Rights of Third Parties) Act 1999.

    These Terms and the documents incorporated into them form the entire agreement and replace previous discussions about the same service.

    Nothing excludes liability for fraud or fraudulent misrepresentation.

    Changes must be agreed in writing, except for price changes made under the price-change section.

    29. Complaints and disputes

    Complaints should be sent to support@tradetechwebsites.co.uk with enough information for TradeTech to investigate.

    Both parties will try to resolve any disagreement promptly and in good faith before beginning court proceedings.

    30. Governing law

    These Terms and any non-contractual dispute are governed by the laws of England and Wales.

    The courts of England and Wales have exclusive jurisdiction, except where applicable law requires otherwise.
